1. About these terms
These Terms and Conditions ("Terms") govern your use of the eolma platform, including the website, mobile application, and any related services (collectively, the "Platform"). The Platform is operated by eolma ("we", "us", or "our").
By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
These Terms are governed by and construed in accordance with the laws of New Zealand, including the Consumer Guarantees Act 1993, the Fair Trading Act 1986, the Contract and Commercial Law Act 2017, and the Privacy Act 2020.
2. Eligibility
The Platform is primarily intended for use in New Zealand. You must be at least 18 years old to use the Platform. By registering, you represent and warrant that you meet this requirement.
3. Account registration
You register by signing in with a supported third-party provider (Google or Facebook). You are responsible for maintaining the security of your account and for all activity that occurs under it.
You must not create accounts for anyone other than yourself or impersonate another person.
4. What the Platform does
eolma is a platform that connects people who want to split bulk purchases. Users can:
- Upload items for others to view and request to split.
- Browse a catalogue of items uploaded by other users and submit split requests.
- Communicate with potential split partners via in-app messaging.
- Share payment details and pickup addresses with confirmed split partners to facilitate reimbursement and collection.
- Rate split partners after completing a transaction.
- Use location services with your permission to see nearby stores and indicate in-store status to other users.
5. Platform role and limitations
eolma is a facilitator. We provide the technology to connect users but we are not a party to any transaction between users. We do not:
- Buy, sell, store, or deliver any goods.
- Process payments or transfer money between users.
- Guarantee the quality, safety, legality, or availability of any items listed on the Platform.
- Guarantee that any user will fulfil their obligations under a split arrangement.
All transactions are conducted directly between users at their own risk. You are solely responsible for verifying the identity of your split partner, agreeing on terms, and arranging payment and delivery.
6. User obligations
When using the Platform, you agree to:
- Act honestly and in good faith in all dealings with other users.
- Only upload accurate item information.
- Honour split arrangements you have confirmed.
- Not use the Platform for any unlawful purpose or in breach of any applicable New Zealand law.
- Not engage in fraudulent, misleading, or deceptive conduct consistent with the Fair Trading Act 1986.
- Not harass, abuse, or threaten other users via the messaging system.
- Not post, upload, or send hateful, sexual, violent, illegal, abusive, or otherwise objectionable content.
- Not impersonate another person, spam other users, or use the Platform for scams or fraud.
- Not use automated tools, bots, or scrapers to access the Platform.
- Not attempt to circumvent any security measures of the Platform.
7. Listings and content
By uploading content to the Platform, including item photos, item descriptions, and messages ("User Content"), you grant eolma full ownership of that content. We may use, store, display, reproduce, modify, or delete User Content at our sole discretion as needed to operate and improve the Platform.
You are solely responsible for the accuracy and legality of any content you upload. We may remove any content that we reasonably believe breaches these Terms or applicable law.
We may reject, filter, remove, or restrict uploads that are irrelevant, unsafe, objectionable, or in breach of these Terms or applicable law.
8. Payment details and pickup address
The Platform allows you to optionally save bank account details and a pickup address to your profile. These details are stored securely. Your bank account details and pickup address are never automatically shared with anyone. They are only ever shared with another user when you explicitly choose to send them in a chat conversation after the split has been confirmed. eolma will never share these details on your behalf or make them visible to any other user without your direct action.
You share payment details and pickup addresses at your own risk. eolma does not verify bank account information, process payments, or confirm that any pickup address is accurate, genuine, or suitable.
9. Ratings and reviews
After a split transaction, users may rate their split partner. Ratings must be honest and based on your genuine experience. We reserve the right to remove ratings that are fraudulent, abusive, or otherwise in breach of these Terms.
10. Intellectual property
All intellectual property in the Platform excluding User Content, including the design, software, trademarks, and branding, is owned by or licensed to eolma. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.
11. Limitation of liability
To the maximum extent permitted by New Zealand law and without limiting any rights you have under the Consumer Guarantees Act 1993:
- The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
- We are not liable for any loss or damage arising from transactions between users, including non-delivery of goods, non-payment, or disputes between split partners.
- We are not liable for any indirect, consequential, or incidental loss arising from your use of the Platform.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law.
12. Indemnity
You agree to indemnify and hold harmless eolma, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses including legal fees arising from your use of the Platform, your breach of these Terms, or your interactions with other users.
13. Suspension and termination
We may suspend or terminate your account at any time if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or pose a risk to other users or the Platform.
We may also review user reports, remove offending chat, listing, or profile content, and disable accounts involved in abusive or illegal conduct.
You may request deletion of your account at any time by deleting your account in Settings or by emailing privacy@eolma.com if you cannot access the app. You can also read our data deletion instructions. Upon deletion, we will remove or de-identify your personal information in accordance with our Privacy Policy, subject to any legal obligations to retain certain data.
14. Disputes between users
eolma is not responsible for resolving disputes between users. If a dispute arises, we encourage users to communicate directly through the Platform's messaging system to reach a resolution. We may, at our discretion, provide information to assist in resolving a dispute but are under no obligation to do so.
15. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform. Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of New Zealand. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of New Zealand.
